Pro Member Terms — Pratiqo

⚠️ Important: This document is a preliminary template that applies to the optional paid Pro Member membership offered to eligible teachers on the Pratiqo platform. It supplements the other applicable legal documents and does not constitute legal advice. Mandatory rights for consumers and self-employed workers under applicable law prevail over anything to the contrary in this document.
1. Identification of the operator
Cours Pratiqo Inc. ("Pratiqo") operates the Pratiqo platform and may offer the Pro Member status to eligible teachers.
The Pro Member membership is a service distinct from the basic marketplace matching. Subscribing to Pro Member does not create any employment, mandate, agency, partnership, joint venture, or franchise relationship between the teacher and Cours Pratiqo Inc.
2. Scope of these Pro Member Terms
These terms apply to any paid Pro Member subscription on Pratiqo. They supplement, without replacing, the following documents:
- the Terms of Service ("Terms");
- the Teacher Terms;
- the Cancellation Policy;
- the Payments, Refunds and Payouts Policy;
- the Code of Conduct;
- the Privacy Policy.
Where there is a conflict between these Pro Member Terms and another Pratiqo document, these terms govern only for matters specific to Pro Member (subscription billing, economic advantages tied to Pro Member status, renewal, Pro Member cancellation), subject to mandatory applicable law.
3. Nature of Pro Member
Pro Member is an optional paid membership — a member status offered to eligible teachers on Pratiqo.
The Pro Member status may give access to economic or platform advantages, including, where offered:
- a reduced commission on marketplace lessons, at the rates and on the conditions displayed by Pratiqo;
- a rebate, reward, or cashback structure linked to the teacher's activity, on the conditions displayed;
- subscription benefits (e.g., paid features attached to the account) where offered;
- possible visibility or marketplace advantages where offered by the platform.
The exact set of advantages, their terms, availability, rates, and caps may vary by plan, region, time, and current offer, and are disclosed on the platform, in the dashboard, at checkout, on the subscription page, or in the applicable plan details. Pro Member advantages may evolve without any fixed list of advantages being guaranteed in perpetuity.
Pro Member is not a tooling suite or a teacher studio: it is a member status. Any distinct feature that may be tied to the status, where offered, is described separately on the platform.
4. Subscription billing cycle
At launch, Pro Member is displayed at $29.99 CAD / month + applicable taxes, and is billed monthly in advance. If Pratiqo later offers an annual period or another cycle, that cycle and its price will be displayed before subscription.
- The billing cycle and next renewal date are displayed before subscription, and may be reviewed in the account's subscription page where offered.
- The price applicable is the one displayed at subscription time, plus any applicable taxes.
- Prices are shown before payment.
- The saved payment method is automatically charged at each renewal, unless cancelled in time or unless mandatory law provides otherwise.
- Pratiqo may use Stripe or another payment provider for the billing and processing of Pro Member transactions.
5. Automatic renewal
Automatic renewal — important disclosure: By subscribing to Pro Member, you expressly accept that the membership automatically renews for a period identical to the cycle selected (monthly or another offered cycle), at the price in effect, until cancelled.
- Before subscribing, a dedicated checkbox confirms your acceptance of automatic renewal and of the applicable pricing. This acceptance is recorded at the time of payment and may be reviewed in the account subscription page when offered.
- The next renewal date and the amount to be billed are displayed in your subscription page.
- Pratiqo may send a renewal notice by email at least 7 days before the billing date when required by law or where the platform is configured to do so.
- The teacher is responsible for cancelling before the renewal date if they do not wish to continue the membership.
- Effect of cancellation and refund: unless mandatory law provides otherwise (in particular the Quebec Consumer Protection Act for teachers who would qualify as consumers within the meaning of that law), cancellation takes effect at the end of the current paid billing period. If applicable law requires a pro rata refund of the unused portion, Pratiqo handles it in accordance with the law. If you have any doubt about your rights, write to
support@pratiqo.ca. - Nothing in this document limits any mandatory rights under applicable law, in particular Quebec consumer-protection rights.
6. Cancellation by the teacher
The teacher may cancel Pro Member:
- from the account subscription settings where this feature is offered; or
- by writing to
support@pratiqo.ca.
Unless otherwise stated at cancellation time or required by mandatory law, cancellation takes effect at the end of the current paid period. Pro Member advantages may remain available until that date and then cease.
The teacher may cancel at any time from their dashboard where this feature is available, or by writing to the support address above.
Cancelling Pro Member:
- does not automatically delete the teacher account;
- does not exempt the teacher from the Teacher Terms or from the other platform rules;
- does not erase financial obligations already incurred (e.g., a payment already charged, a rebate already paid out and subject to clawback under the displayed conditions, or an open dispute).
7. Refunds
Subject to mandatory law, to promotional terms expressly stating otherwise, and to technical or billing errors, Pro Member payments are generally non-refundable once a billing period has started.
- No prorated refund is offered, unless required by law or expressly offered by Pratiqo.
- In case of a technical or billing error, the teacher should write to
support@pratiqo.cawith useful details (transaction id, date, reason). - This document does not limit the teacher's mandatory rights, including those under Quebec's Consumer Protection Act or any other applicable mandatory law.
8. Failed payments and status downgrade
If a Pro Member payment fails (expired card, insufficient funds, issuer decline, etc.):
- Pratiqo or its payment provider may automatically retry the payment under its recovery procedures.
- The Pro Member status and the economic advantages tied to it (e.g., reduced commission, rebate) may be paused, downgraded, suspended, or cancelled after a payment failure or non-payment.
- The teacher may be liable for unpaid amounts to the extent permitted by applicable law.
- Updating the payment method may be required to continue the membership.
- Automated payment-recovery procedures may be performed by the payment provider (e.g., Stripe) under its own rules.
9. Taxes
Taxes (GST, QST, HST, provincial taxes, foreign taxes) may be added to the membership price depending on the teacher's residence and applicable law.
- The teacher must provide accurate and up-to-date billing and tax information.
- Pratiqo may collect and remit taxes where required by law.
- Pratiqo does not provide tax advice. The teacher should consult their own advisor for personal or business tax obligations.
10. Changes to advantages
Pratiqo may add, remove, test, rename, modify, or discontinue Pro Member advantages, including the reduced commission, the rebate structure, the subscription price, or plan conditions.
- Material changes will be communicated with prior notice compliant with applicable law where required.
- Changes to commissions, subscription prices, or plan conditions apply prospectively. Where required by law, affected users may cancel before the change takes effect.
- A change to an advantage does not automatically entitle the teacher to a refund, unless mandatory law provides otherwise.
- Beta, experimental, or early-access advantages may be modified, restricted, or removed without notice and are not guaranteed.
- Rate changes (e.g., adjustment to the reduced commission or the rebate) apply prospectively as of the effective date indicated by Pratiqo, subject to applicable law.
11. Visibility, ranking, badges, and search
Pro Member status may improve certain visibility signals, but does not guarantee ranking, bookings, or income.
Where offered by the platform, Pro Member status may be among the factors used in certain ranking, search, highlighting, or display features.
- Ranking and search on Pratiqo may depend on several factors, including: relevance to the query, location, discipline, availability, price, profile quality, ratings, responsiveness, safety and trust signals, and other criteria that may evolve.
- Pro Member status may be considered as one factor among others or as a tiebreaker at equal relevance, where the platform provides for it.
- Pratiqo does not guarantee any particular position, number of impressions, number of clicks, messages, bookings, students, or revenue.
- Badges and labels for Pro Member are not equivalent to identity verification or credential verification, unless clearly stated otherwise.
12. No guarantee of students, bookings, revenue, or results
Pro Member is not a promise of:
- students;
- bookings;
- messages;
- profile views;
- revenue;
- ranking position in search results;
- business success on the platform.
No Pro Member advantage — including the reduced commission or the rebate — turns Pratiqo into a placement agency, a student-recruiting service, a revenue guarantee, or a guarantee of commercial or pedagogical results.
13. Promotional, beta, and founder offers
Pratiqo may offer promotional, beta, "founder," discounted, or free-trial offers tied to Pro Member.
- These offers may be temporary.
- Eligibility may be limited to certain segments, markets, periods, volumes, profiles, or displayed conditions.
- Pratiqo may end or modify these offers consistent with their displayed terms and applicable law.
- Promotional terms do not become permanent unless Pratiqo expressly states so in writing.
- They do not guarantee income, booking volume, ranking, visibility, students, or business results.
- Their compatibility with Pro Member, reduced commissions, or any rebate must be specified in the applicable terms of the relevant offer.
14. Account standing and eligibility
Pro Member may be reserved for teachers who:
- maintain an active teacher account;
- comply with the Teacher Terms;
- maintain an accurate, up-to-date profile;
- have no unresolved safety or compliance issue;
- have a valid payment method;
- meet, where applicable, identity-verification or other applicable checks.
Pratiqo may decline, suspend, or terminate Pro Member in particular for:
- policy violations;
- fraud risk;
- safety issue;
- inaccurate or misleading profile;
- off-platform payment solicitation;
- chargeback abuse;
- abuse of the rebate or reward program;
- non-payment;
- legal or compliance risk.
15. Relationship with payouts, commissions, and rebates
The Pro Member subscription fees (what Pratiqo charges for the member status) are distinct from marketplace commissions (the percentage Pratiqo retains on each lesson), service fees, and other marketplace fees.
The annual Pro Member rebate, where offered, is a conditional retroactive commercial volume rebate, calculated according to the eligible annual volume generated by the teacher on the Pratiqo marketplace. This rebate is not participation in Cours Pratiqo Inc.'s profits, a financial return, an investment, or guaranteed income. YoPratiqo and other separate self-paced products are excluded. Rates, thresholds, caps, calculation periods, eligibility conditions, payment mechanics, and recovery mechanisms are displayed in the platform or applicable terms and remain subject to lawyer validation.
- Paying for Pro Member does not exempt the teacher from marketplace rules, commissions, cancellation rules, refund rules, or chargeback obligations.
- Where a reduced commission is tied to Pro Member status, its rate, conditions, effective date, and scope are disclosed on the platform, in the dashboard, at checkout, on the subscription page, or in the applicable plan details. Pratiqo may adjust this rate prospectively, subject to applicable law.
- Where a rebate, reward, or cashback structure is tied to Pro Member status, its calculation method, caps, payout frequency, and clawback conditions are disclosed in the same way. A rebate already paid out may be adjusted, clawed back, or offset by Pratiqo, to the extent permitted by law, in case of refund, chargeback, error, ineligibility, or breach of these terms.
- Pro Member fees cannot be offset against marketplace payouts, unless Pratiqo expressly offers that feature or applicable law requires it.
- Holds, clawbacks, or payout adjustments remain governed by the Teacher Terms and the Payments, Refunds and Payouts Policy.
16. Payment disputes and chargebacks
Before opening a dispute with the card issuer, the teacher should contact support@pratiqo.ca where possible to attempt a quick resolution.
- Abusive or unjustified disputes may affect account standing and Pro Member eligibility.
- Pratiqo may investigate any billing dispute and request documentation.
- Nothing in this document limits the teacher's rights under applicable law or under card-network rules.
17. Termination by Pratiqo
Pratiqo may suspend or terminate a Pro Member membership in particular for:
- breach of these terms or of another applicable legal document;
- non-payment;
- fraud or abuse (including abuse of the rebate or reward program);
- safety issue;
- legal or regulatory risk;
- discontinuation of the Pro Member service.
If Pratiqo discontinues Pro Member, it manages active subscriptions in accordance with applicable law and the terms displayed at the time of discontinuation. Nothing in these terms guarantees that Pro Member will exist indefinitely, or that any specific reduced-commission or rebate rate will remain unchanged.
18. Data and privacy
Pro Member may involve the processing of:
- analytics data;
- profile metrics;
- ranking signals;
- billing information;
- marketplace activity data necessary to compute the reduced commission or the rebate;
- usage data relevant to the service.
The processing of personal information is described in the Privacy Policy. These Pro Member Terms do not introduce any new data practice that is not already described in the applicable Privacy Policy. Pratiqo does not sell teacher personal information to advertisers.

20. No waiver of mandatory rights
Nothing in these Pro Member Terms limits or waives rights that cannot validly be waived under applicable law, including:
- Quebec's Consumer Protection Act (in particular sections 37, 38, and 53);
- applicable Canadian federal commercial-practice rules;
- other applicable mandatory laws.
If any clause of these terms is held invalid or unenforceable, the remaining clauses remain in force.
